1. Scope of Services

  • The Company shall perform HVAC installation, maintenance, and repair services as described in the Proposal, Quote, or Service Agreement provided to the Client.
  • Any additional work requested by the Client that falls outside the agreed scope shall be treated as a change order and subject to additional charges.
  • The Company reserves the right to subcontract portions of the work, provided that the Company remains fully responsible for subcontractor performance

2. Estimates, Pricing & Change Orders

  • All pricing is based on the information available at the time of quotation. Unforeseen conditions, regulatory requirements, or modifications requested by the Client may result in additional charges.
  • Change orders must be documented in writing and approved by both parties before commencement.
  • Unless otherwise agreed, prices are exclusive of applicable taxes, permits, and disposal fees.

3. Payment Terms

  • Unless otherwise agreed in writing:

    • A deposit of [X%] is required before commencement.
    • Progress payments shall be made according to the project schedule.
    • The balance is due upon substantial completion of the work.
  • Late payments shall accrue interest at [X%] per month (or the maximum rate permitted by law).
  • The Company reserves the right to suspend work or withhold warranties until all outstanding amounts are paid.

4. Client Responsibilities

  • The Client shall provide timely site access, utilities, and clear working conditions.
  • The Client shall ensure compliance with all relevant laws, permits, and approvals unless otherwise agreed.
  • The Client shall be responsible for protecting all property, data, and equipment not within the Company’s scope of work.

5. Warranties & Limitations

  • The Company warrants its labor for a period of [12] months from the date of substantial completion. Manufacturer warranties shall apply to equipment and parts.
  • This warranty excludes defects caused by misuse, neglect, unauthorized alterations, lack of maintenance, or environmental factors beyond the Company’s control.
  • The Company shall not be liable for incidental, consequential, or indirect damages, including but not limited to business interruption, loss of profits, or damage to third-party property.

6. Insurance & Indemnification

  • The Company shall maintain general liability insurance, workers’ compensation, and any other legally required coverage. Proof of insurance is available upon request.
  • To the fullest extent permitted by law, the Client agrees to indemnify and hold the Company harmless against claims, damages, or expenses arising out of the Client’s negligence, breach of contract, or failure to comply with applicable laws.

7. Delays & Force Majeure

  • The Company shall not be liable for delays caused by events beyond its reasonable control, including but not limited to weather, labor disputes, supply chain disruptions, or government actions.
  • In the event of such delays, the project timeline shall be extended accordingly without penalty.

8. Termination

  • Either party may terminate this Agreement for material breach, provided written notice is given and the breach is not remedied within [10] business days.
  • Upon termination, the Client shall pay the Company for all work performed, materials ordered, and reasonable demobilization costs.

9. Dispute Resolution

  • This Agreement shall be governed by the laws of [State/Province].
  • Any dispute arising under this Agreement shall first be subject to mediation in [City/County]. If unresolved, the dispute shall be submitted to binding arbitration (or the competent court, if preferred by law).

10. Entire Agreement

  • This Agreement, together with any signed proposals, quotes, or service schedules, constitutes the entire agreement between the parties.
  • No amendment or modification shall be valid unless in writing and signed by both parties.
